Broadfield has advised the shareholders of Alliants Limited (“Alliants”) on the agreed sale of the company to dormakaba Holding GmbH + Co. KGaA (“dormakaba”), part of the dormakaba Group, the Swiss-listed global access solutions business. The transaction has been signed and completion is expected in due course.
Alliants, based in Southampton, builds digital guest experience software for luxury hospitality, including guest apps, messaging and service platforms used by international hotel groups. The acquisition brings Alliants together with dormakaba’s hotel access business, connecting physical access with the digital guest journey.
The Broadfield team was led by corporate Partner David Ramm, supported by Senior Associate David Crease, with tax advice from Partner Philip Alfandary.
"We are delighted to have supported the shareholders on this transaction. Selling a business you have built is a significant step, and this one brought together an earn-out, an international shareholder base and an option scheme, each of which had to work alongside the others. We look forward to seeing the business develop under dormakaba's ownership."
