David Brennand brings to Broadfield a rare combination: a seasoned corporate lawyer with expertise in innovative joint venture arrangements, together with over 20 years’ experience across the investment funds space. David works with sponsors on mandates that traverse the spectrum of complexities applicable to collective investment structures in both a trading and investing context. In doing so, David is adept at assisting clients in structuring and successfully launching funds, in addition to navigating intricate joint venture-type arrangements, using vehicles in a variety of jurisdictions.
Based on this experience, David also represents an array of institutional investors in connection with negotiating the structures and terms applicable to their fund investments, managed accounts, seed capital arrangements, as well as their portfolio acquisitions and divestments in the secondaries market.
Much of David’s work has an international flavour. In recent years, David has gained significant experience acting for financial institutions located in MENA with respect to their joint venture-type arrangements across Europe and beyond while also assisting them develop associated fund products for investment by their MENA-based clients.
- Advising financial institutions in MENA in relation to the structuring and operation of a number of complex joint venture arrangements with multiple joint venturers focused on commercial real estate portfolios in Europe, together with advising on complementary (Shari’a law compliant) private fund structures established in a variety of jurisdictions; the latter allowing the financial institution to syndicate its investments in these portfolios to its underlying clients.
- Advising an established international management group in relation to the establishment of, and seeding arrangements with respect to, a stable of hedge funds, each of which followed a maritime-focused arbitrage strategy:
- The raising of a private fund focused on the acquisition and operation of maritime freight vessels (which would run in parallel to the existing funds managed by the manager); and
- The restructuring and subsequent winding up of those funds previously operated as part of an overall restructure of the business, together with the establishment of a new joint venture aimed at a variety of maritime opportunities with a third party.
- Advising an established UK-based commercial real estate management group in relation to joint venture arrangements with a range of institutional investors for the acquisition and management of UK commercial real estate.
- Advising a Swiss-based private bank in relation to revisions to the structure of a number of products and the establishment of a series of new start-up hedge funds focused on a variety of strategies.
- Advising an institutional seed capital provider based in Sweden in relation to fund seeding and joint venture arrangements with a range of new start-up hedge fund managers, as well as advising on a series of managed account relationships for various of the fund manager’s subsidiaries/trading vehicles.
- Advising a Swiss-based family office on the secondary sale of a substantial portfolio of private equity fund investments focused on Asia.
- Advising a significant US family office on a broad range of investments in private equity, hedge and real estate funds.
- Advising an international intergovernmental agency in relation to a series of investments by the agency’s pension plan in a number of hedge funds and private equity funds.
